Beat Velocity Studio Terms of Service

1. Agreement to these Terms

These Terms of Service govern your access to and use of the Beat Velocity Studio website, downloads, private beta versions, paid licenses, software, updates, documentation, support services, and related services.

By downloading, installing, activating, purchasing, subscribing to, accessing, or using Beat Velocity Studio, you agree to these Terms. If you do not agree, do not use the website, software, beta build, license, or services.

If you use Beat Velocity Studio on behalf of a company, venue, production business, church, school, agency, client, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Product description

Beat Velocity Studio is software for controlling visual content for live shows, events, venues, streams, performances, and related uses. The software may support features such as video playback, visual loops, logos, branded screen content, abstract effects, live visual effects, music-reactive graphics, and related visual performance tools.

Features may vary by version, license type, operating system, hardware, subscription plan, and configuration.

3. License grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Beat Velocity Studio according to your license type, plan, documentation, and any usage limits presented at purchase or activation.

Beat Velocity Studio is licensed, not sold. We retain all rights, title, and interest in and to the software, website, documentation, branding, design, code, visual effects, templates, systems, and related intellectual property, except for content owned by you or third parties.

4. Beta and evaluation use

We may offer private beta access, demo access, evaluation versions, limited feature versions, time-limited versions, or other promotional access. Beta and evaluation access may be limited, modified, suspended, or discontinued at any time.

Beta and evaluation versions may include feature restrictions, watermarks, usage limits, internet validation requirements, expiry periods, or other limitations. You may not attempt to reset, extend, bypass, duplicate, or misuse an evaluation period.

5. Paid licenses and subscriptions

Beat Velocity Studio may be offered through monthly subscriptions, annual subscriptions, one-time licenses for a current major release, upgrades, add-ons, or other license models.

The rights you receive depend on the license purchased. Unless stated otherwise, monthly and annual licenses provide access only while the subscription is active and paid. One-time licenses provide access to the purchased major release or license scope, but do not include all future major releases, upgrades, cloud services, support, or subscription-only features unless expressly stated at purchase.

License access may require activation and periodic validation. Some licenses may be limited by user, device, machine, organization, venue, seat count, event count, output type, or other limits.

We may change pricing, plans, features, or license models for future purchases or renewals. Changes do not reduce the license rights you already purchased for the paid term then in effect, unless required by law or necessary for security, fraud prevention, or platform operation.

6. License activation and validation

Beat Velocity Studio may require online activation and periodic license validation. Activation or validation may use your email address, license key, account identifier, machine identifier, hardware identifier, app version, IP address, and related license status information.

A license may be bound to a specific user, email address, machine, organization, or activation record depending on the license type.

If offline access is supported, the software may continue operating for a limited grace period after the last successful validation. After the grace period expires, Beat Velocity Studio may require an internet connection to validate the license before continued use.

You are responsible for ensuring internet access when activation, renewal, validation, or subscription verification is required.

7. License restrictions

You may not copy, distribute, resell, sublicense, rent, lease, lend, or commercially host Beat Velocity Studio except as expressly allowed by your license; share license keys, activation tokens, account credentials, or device-bound activations with unauthorized users; circumvent, disable, tamper with, or bypass license activation, validation, subscription checks, expiry checks, watermarks, usage limits, or security controls; reverse engineer, decompile, disassemble, modify, or create derivative works from the software, except where applicable law expressly allows it; use the software to build a competing product or service; remove copyright, trademark, license, or proprietary notices; use automated tools to abuse downloads, trials, activations, APIs, or licensing systems; or use Beat Velocity Studio in a way that violates law, infringes rights, or harms our systems, users, reputation, or business.

8. Your content and media rights

You are responsible for all videos, loops, images, logos, branding, music, audio, graphics, names, trademarks, messages, and other content you import, display, play, trigger, create, or use with Beat Velocity Studio.

You represent and warrant that you have all rights, licenses, permissions, clearances, and consents needed to use your content in the locations, venues, streams, broadcasts, recordings, events, countries, and contexts where you use it.

Beat Velocity Studio does not give you rights to use copyrighted videos, music, logos, brands, footage, images, visual loops, stock media, or third-party materials unless those rights are separately granted by the rights holder.

You are responsible for public performance, synchronization, broadcast, streaming, music, video, trademark, advertising, venue, client, union, and other rights or permissions that may apply to your use.

9. Prohibited content and use

You may not use Beat Velocity Studio or our services to create, display, distribute, promote, or facilitate content or activity that violates applicable law; infringes copyright, trademark, privacy, publicity, contractual, or other rights; contains unlawful threats, harassment, or abuse; contains malicious code or attempts to compromise systems; misrepresents sponsorship, endorsement, identity, or authorization; or is used for fraud, deception, piracy, unauthorized surveillance, or unlawful activity.

We are not responsible for monitoring your local use of the software, but we may suspend or terminate access to licenses, accounts, downloads, support, or services if we reasonably believe there is abuse, infringement, fraud, security risk, or violation of these Terms.

10. Live event responsibility

Beat Velocity Studio may be used in live environments where timing, reliability, visual output, performance, and hardware configuration matter.

You are responsible for testing the software before live use; confirming compatibility with your hardware, displays, projectors, capture devices, controllers, audio routing, codecs, and operating system; keeping backup media, fallback visuals, and contingency plans; maintaining appropriate power, cabling, networking, storage, drivers, updates, and system performance; ensuring that visual content is suitable for the audience, venue, client, jurisdiction, and event; and avoiding unsafe visual patterns where appropriate, including intense flashing or strobing content.

We do not guarantee that Beat Velocity Studio will be uninterrupted, error-free, latency-free, compatible with every device, or suitable for every live event or production requirement.

11. Health and safety note for visual effects

Some visual content, including flashing lights, rapid motion, high contrast effects, or strobe-like visuals, may be uncomfortable or unsafe for some viewers, including people with photosensitive epilepsy or other sensitivities.

You are responsible for using visual effects safely and appropriately for your audience, venue, event, and applicable rules or laws.

12. Updates and changes

We may provide updates, patches, bug fixes, enhancements, new features, compatibility changes, security updates, or modified versions of Beat Velocity Studio. Some updates may be required for security, license validation, compatibility, or continued operation.

Some features may be changed, removed, replaced, renamed, limited, or moved between license tiers. We are not obligated to provide every future feature, platform version, codec, integration, controller mapping, output mode, or update under every license type.

13. Third-party services and components

Beat Velocity Studio or the website may use or interact with third-party services, libraries, codecs, drivers, operating systems, payment processors, analytics tools, hosting providers, email services, marketplaces, APIs, or platforms.

Your use of third-party services may be subject to their own terms, licenses, privacy policies, fees, limitations, and restrictions. We are not responsible for third-party products, services, failures, outages, policies, fees, license changes, or compatibility issues.

14. Payments, renewals, cancellations, and refunds

Prices, billing periods, renewal terms, taxes, payment methods, and cancellation rules will be presented at purchase or in the applicable checkout, invoice, order form, or subscription portal.

Promotional, beta, feedback, or launch discounts may be offered to eligible accounts. Eligibility, percentage, duration, plan coverage, redemption requirements, and verification requirements are determined by the offer. Discount offers have no cash value, are non-transferable unless we say otherwise, and may be refused or removed for misuse, fraud, refund abuse, cancellation abuse, account sharing, or payment processor limitations.

All sales are final. Unless required by law, all fees are non-refundable, including monthly subscriptions, annual subscriptions, one-time licenses, upgrades, add-ons, and renewal charges.

Subscription fees are billed in advance and subscriptions may renew automatically unless cancelled before renewal. Cancelling a subscription stops future renewals; it does not refund past charges or the current paid billing period. You are responsible for maintaining accurate billing information, and failure to pay may result in suspension or termination of access.

If a refund is required by law or granted as an exception, your license or access may be cancelled, deactivated, downgraded, or limited.

15. Taxes

Prices may not include applicable taxes, duties, levies, or government charges unless stated otherwise. You are responsible for taxes associated with your purchase, subscription, license, or use, except for taxes based on our net income.

16. Support

We may provide support through email, documentation, website resources, updates, or other channels. Support availability, response times, scope, and eligibility may vary by license type, plan, product version, and business capacity.

Support does not include a guarantee that we can resolve every issue, support every hardware configuration, troubleshoot third-party media files, repair corrupted systems, or provide live event emergency support.

17. Ownership and intellectual property

Beat Velocity Studio, the website, product name, logos, interface designs, software code, documentation, visual systems, effects, templates, workflows, branding, and related materials are owned by Beat Velocity Studio or its licensors and are protected by intellectual property laws.

You retain ownership of content you lawfully own and use with the software. You do not transfer ownership of your media to us by using Beat Velocity Studio.

If you provide feedback, ideas, suggestions, bug reports, feature requests, or improvement proposals, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation.

18. Confidentiality of license keys and accounts

You are responsible for keeping your account credentials, license keys, activation tokens, download links, and related access information confidential.

You must notify us if you believe your license key, account, or activation has been lost, stolen, shared, compromised, or used without authorization.

19. Suspension and termination

We may suspend, restrict, deactivate, or terminate your access to Beat Velocity Studio, licenses, accounts, downloads, updates, or support if you violate these Terms; payment fails or a subscription expires; we detect fraud, piracy, abuse, unauthorized sharing, or license circumvention; your use creates legal, security, operational, or reputational risk; or we are required to do so by law or by a payment processor, platform, court, regulator, or rights holder.

After termination, you must stop using the software and may be required to uninstall it or delete license materials, unless applicable law or the license type clearly allows continued use.

Sections intended to survive termination will continue to apply, including ownership, license restrictions, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and governing law.

20. Disclaimer of warranties

To the maximum extent permitted by law, Beat Velocity Studio, the website, downloads, trials, licenses, updates, support, and services are provided "as is" and "as available."

We disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free performance, compatibility, accuracy, availability, and suitability for any particular event, venue, production, broadcast, stream, or commercial purpose.

You use Beat Velocity Studio at your own risk and are responsible for testing it before relying on it in a live environment.

21. Limitation of liability

To the maximum extent permitted by law, Beat Velocity Studio and its owners, directors, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost business, lost savings, lost goodwill, lost data, lost media, event failure, show interruption, production failure, equipment issues, substitute services, or reputational harm.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to Beat Velocity Studio, the website, services, licenses, or these Terms will not exceed the amount you paid to us for Beat Velocity Studio during the twelve months before the event giving rise to the claim, or CAD $100 if you did not pay us during that period.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

22. Indemnity

You agree to defend, indemnify, and hold harmless Beat Velocity Studio and its owners, directors, officers, employees, contractors, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your use of Beat Velocity Studio; your content, media, branding, music, video, images, logos, or other materials; your live events, streams, broadcasts, installations, or performances; your violation of these Terms; your violation of law or third-party rights; or your misuse of licenses, accounts, activation systems, or services.

23. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, unless another jurisdiction is required by applicable consumer protection law.

The courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from or relating to these Terms, the website, software, licenses, or services, except where applicable law requires otherwise.

24. Consumer rights

Nothing in these Terms is intended to limit rights that cannot be limited under applicable consumer protection, privacy, or other mandatory laws.

If you are a consumer in a jurisdiction that gives you mandatory rights, these Terms apply only to the extent permitted by those laws.

25. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Last updated" date.

If changes are material, we may provide additional notice where appropriate. Your continued use of the website, software, licenses, or services after updated Terms are posted means you accept the updated Terms going forward.

26. Assignment

You may not assign or transfer these Terms, your license, account, activation, or subscription without our prior written consent.

We may assign or transfer these Terms, licenses, accounts, rights, and obligations as part of a merger, acquisition, financing, sale of assets, restructuring, corporate transaction, or transfer of the business.

27. Entire agreement

These Terms, together with the Privacy Policy, any purchase terms, license plan terms, order form, invoice, or additional written terms we provide, form the entire agreement between you and us regarding Beat Velocity Studio.

If there is a conflict between these Terms and a specific written order form or enterprise agreement signed by us, the signed agreement controls for that specific purchase.
